Terms of Service.

The terms on which SPAC Watch is made available: what the service is, what you may do with the data, and the limits of what we promise about it.

In short

  • SPAC Watch is an information service. It is not advice, and we are not your adviser.
  • The service is currently free while in preview. Paid plans may be introduced with notice.
  • You may use the data for your own research. You may not scrape it in bulk or resell it.
  • The data is provided as is. We do not warrant that it is accurate, complete or current.
  • Our liability is limited, and some of these limits are unusually strict — read sections 10 and 11.

This summary is for orientation only. The numbered sections below are the ones that apply.

These terms, and who they are with

SPAC Watch is operated by Sergey Monin, an individual, as a sole operator. “We”, “us” and “our” in these documents refer to that operator. These Terms of Service govern your access to and use of www.spacwatch.com and everything published on it (the “Service”).

By using the Service you agree to these terms. If you do not agree, do not use it. Two further documents form part of this agreement and you should read them alongside it: the Disclaimer, which sets out the limits of the data, and the Privacy Policy, which sets out what we do with information about you.

What the Service is, and what it is not

The Service collects documents filed with the U.S. Securities and Exchange Commission, extracts data from them, computes derived measures, and presents the result as searchable, comparable pages and screens.

It is an information service and nothing more. We are not an investment adviser, broker, dealer or rating agency; we are not registered as any of those with any authority; and using the Service creates no advisory or fiduciary relationship. Nothing published on the Service is advice or a recommendation. The Disclaimer covers this in full and applies to every page of the Service.

Eligibility and your account

You must be at least 18 years old and legally able to enter into a contract to use the Service. Some parts of the Service are open to anyone; others require an account.

If you create an account, you agree to give accurate registration details, to keep your credentials to yourself, and to tell us promptly if you believe someone else has used them. You are responsible for what is done through your account. One account is for one person: accounts may not be shared, sold or transferred.

You can close your account at any time from the settings screens, or by asking us.

Acceptable use

You agree not to:

  • access the Service by automated means — crawling, scraping, harvesting — beyond what our robots.txt permits, or at a rate that burdens the Service;
  • copy, extract or reproduce a substantial part of the datasets, screens or pages, or use them to build, train or populate a competing product or dataset;
  • resell, sublicense, redistribute or publish the data as a dataset, whether or not for a fee;
  • circumvent, or attempt to circumvent, any access control, rate limit or paywall, including by using multiple accounts;
  • probe, scan or test the security of the Service, or interfere with its operation or with anyone else’s use of it;
  • misrepresent anything on the Service as advice, as a rating, or as endorsed by us; or
  • use the Service in breach of any applicable law, including securities and market-abuse law.

Reasonable personal and internal professional use — reading, searching, and quoting or citing figures with attribution — is expressly permitted and is what the Service is for.

Free preview, and future paid plans

The Service is currently in preview and is provided free of charge. There is no billing, and no payment details are collected.

We may introduce paid plans, and may move features that are free today behind one. Where we do, we will give notice in advance through the Service or by email, and no charge will ever be made without your explicit agreement to it first. Free access is not guaranteed to continue.

Changes to the Service

We may change, suspend, or withdraw any part of the Service at any time, including data, features and coverage. We do not guarantee that the Service will be available, uninterrupted, or free of error, and we may take it down for maintenance without notice.

Intellectual property

The underlying filings are public documents of the U.S. federal government’s EDGAR system and are not ours. What is ours is the selection, extraction, structuring, derived measures, classifications, written commentary, design, code and branding of the Service — together, the compilation. That compilation, and the SPAC Watch name and marks, remain our property.

Subject to these terms, you get a personal, revocable, non-exclusive, non-transferable licence to access and use the Service for your own research. Nothing else is granted, by implication or otherwise.

You may quote or cite individual figures and short extracts in your own work — a note, a report, a post — provided you attribute them to SPAC Watch and, where the figure came from a filing, you check it against that filing. Wholesale reproduction is not permitted.

If you send us feedback, corrections or suggestions, we may use them without restriction and without owing you anything for them. You keep any rights you have in them.

Third-party data and links

Some information on the Service is supplied by third parties, including market prices. It is provided subject to those parties’ own terms and we make no representation about it. The Service also links to external sites, including EDGAR; we do not control them and are not responsible for them.

Suspension and termination

We may suspend or terminate your access, with or without notice, if you breach these terms, if we reasonably suspect you have, or if we are required to by law. Where the circumstances allow it we will tell you first.

On termination your licence ends immediately. The sections on intellectual property, warranties, liability, indemnity and governing law survive.

No warranties

To the fullest extent permitted by law, the Service and everything in it is provided “as is” and “as available”, without warranty of any kind, express or implied. We specifically do not warrant that the data is accurate, complete, current, or fit for any particular purpose, nor that the Service will be available or free of error.

The data is derived from documents written by third parties and read by automated systems. It can be wrong, late, or superseded. The Disclaimer sets out the known limits of the method, and you should read it as part of this section.

Some jurisdictions do not allow the exclusion of certain warranties. Where that is so, this section applies to the fullest extent those laws permit, and nothing in these terms excludes liability that cannot lawfully be excluded.

Limitation of liability

To the fullest extent permitted by law, we are not liable for any trading or investment loss, loss of profit, loss of opportunity, loss of data, or any indirect, incidental, special, consequential or punitive damages arising out of or in connection with your use of the Service — including losses arising from data that turns out to be inaccurate, incomplete, delayed or absent — whether or not we were told such losses were possible.

Our total aggregate liability arising out of or in connection with the Service is limited to the greater of the amount you paid us for the Service in the twelve months before the claim arose, and one hundred U.S. dollars (USD 100). While the Service is free, that means USD 100.

Nothing in these terms limits liability for fraud, for fraudulent misrepresentation, for death or personal injury caused by negligence, or for anything else that cannot lawfully be limited.

Indemnity

You agree to indemnify us against any claim, loss or expense (including reasonable legal fees) arising out of your breach of these terms, your misuse of the Service, or your redistribution of anything taken from it.

Changes to these terms

We may amend these terms. The date at the top of this page always shows when they last changed. Where a change is material we will give reasonable notice through the Service or by email before it takes effect. Continuing to use the Service after that is acceptance of the amended terms; if you do not accept them, stop using the Service and close your account.

Governing law, and everything else

Governing law
These terms, and any dispute arising out of them or out of the Service, are governed by the law of the Russian Federation, and the courts of the Russian Federation have exclusive jurisdiction. If you are a consumer, this does not deprive you of the protection of mandatory rules of law in the country where you live.
Severability
If any provision is held unenforceable, it is modified to the minimum extent necessary or, failing that, severed. The rest continues in force.
No waiver
A failure to enforce a provision is not a waiver of it, and does not prevent us enforcing it later.
Assignment
You may not assign or transfer your rights under these terms. We may assign ours to a successor to the Service, on notice.
Entire agreement
These terms, together with the Disclaimer and the Privacy Policy, are the whole agreement between us about the Service, and replace anything said or written before it.
